1. Eligibility

1. 1.1 The referral programme is open only to organisations that are new to TympaHealth.
2. 1.2 Your organisation must not:
   • Already be a contracted TympaHealth customer;
   • Be in active commercial discussions, negotiations, or procurement processes with TympaHealth at the time the referral form is submitted; or
   • Already exist within TympaHealth’s active sales pipeline.

   TympaHealth reserves the right, at its sole discretion, to determine eligibility.

2. Qualification for Referral Credit

1. 2.1 To qualify for the £250 referral credit:
   • Your organisation must enter into a signed contract with TympaHealth;
   • Successfully go live with the TympaHealth System; and
   • Pay your first invoice in full.
2. 2.2 The £250 credit will be applied as a discount to your first invoice (or, where applicable, refunded against the first paid invoice).
3. 2.3 No credit will be issued if the contract is terminated prior to go-live or if the first invoice is not paid in full.

3. Nature of the Credit

1. 3.1 The referral credit:
   • Is non-cash and has no cash alternative;
   • Is non-transferable;
   • Cannot be exchanged for other products, services, or discounts;
   • Cannot be applied retrospectively to invoices already issued (unless agreed in writing).
   • Cannot be used in conjunction with any other offer, promotion, incentive, or discount unless expressly agreed in writing by TympaHealth.

4. Consent and Data

1. 4.1 By submitting the referral form, you confirm that:
   • You consent to being contacted by TympaHealth in relation to its products and services; and
   • The information provided is accurate and complete.
2. 4.2 Personal data will be processed in accordance with TympaHealth’s Privacy Policy.

5. Referral Validity

1. 5.1 A referral will only be valid if submitted via the official TympaHealth referral form prior to contract signature.
2. 5.2 TympaHealth may decline a referral where the opportunity was already known to TympaHealth or in progress.

6. Programme Changes

TympaHealth reserves the right to amend, suspend, or withdraw the referral programme at any time. Any qualifying
referrals submitted prior to such change will be honoured in accordance with the Terms in force at the time of
submission.

7. Governing Law

These Terms & Conditions are governed by the laws of England and Wales.
